Licence and Terms of Service

1. What you are buying

You are buying a licence to use digital templates, guides, and prompts (the "Materials"), not the Materials themselves. Operating Model Studio owns all intellectual property in the Materials and retains it after your purchase.

2. Licence granted

On payment, Operating Model Studio grants you a non exclusive, non transferable, perpetual licence to use the Materials within a single organisation. "Single organisation" means the legal entity you work for at the time of purchase, or you personally if you are an independent consultant. Within that organisation you may:

• Download, open, edit, and adapt the Materials without limit.
• Remove Operating Model Studio branding and apply your own.
• Share adapted or unadapted copies with colleagues in the same organisation.
• Present documents built from the Materials to your own board, sponsors, vendors, and clients as part of your ordinary work.

3. What you may not do

You may not:

• Resell, sublicense, rent, lend, or otherwise redistribute the Materials, adapted or not, whether for payment or free.
• Share the Materials with anyone outside your organisation, including contractors and agencies, except as a finished deliverable under section 2.
• Post the Materials, in whole or part, on any public or shared platform, marketplace, repository, or file sharing service.
• Use the Materials to create a competing template, toolkit, course, or prompt product.
• Remove or alter licence notices in the guides.
• Claim authorship of the Materials as originally supplied.

If you are a consultant, you may use the Materials to produce deliverables for clients. You may not hand the Materials themselves to a client, and each client who wants the Materials needs their own licence.

4. Delivery and refunds

The Materials are delivered as digital downloads immediately on payment. Because they cannot be returned, all sales are final once the files have been downloaded. If a file is corrupt or does not match its description, contact us within 14 days and we will replace it or refund you.

5. Updates

Where a revised version of a product you have bought is released, it will be made available to you at no charge through the same Whop listing for as long as the listing is active.

6. No professional advice, no warranty

The Materials reflect general professional practice. They are not legal, financial, procurement, or regulatory advice, and they do not account for your organisation's specific circumstances. You are responsible for reviewing and adapting them before use. The Materials are provided as they are, without warranty of any kind. Operating Model Studio does not warrant that they are error free or suitable for any particular purpose.

7. Limitation of liability

To the fullest extent permitted by law, Operating Model Studio's total liability arising from your purchase or use of the Materials is limited to the amount you paid for them. Operating Model Studio is not liable for indirect, consequential, or business losses of any kind.

8. Termination

This licence ends automatically if you breach section 3. On termination you must delete all copies of the Materials. Sections 1, 3, 6, and 7 survive termination.

9. General

These terms are governed by the laws of the Kingdom of Saudi Arabia and its courts have exclusive jurisdiction. If any part of these terms is unenforceable, the rest remains in force. These terms are the entire agreement between you and Operating Model Studio regarding the Materials. Whop's own platform terms also apply to the transaction.
